COMPENSATION: Licensee agrees to air FCR with six national barter minutes per hour without charge to Licensor at the time of broadcast. The same compensation shall apply for any rebroadcast of FCR. Commercial units due Licensor are not pre-emptible.

REBROADCAST: Subject to the terms of this Agreement, Licensee acknowledges that all rights and interest in and to FCR shall remain the exclusive property of Licensor. Permission is hereby granted for Licensee to use short sound bites from FCR for promotional announcements.

TERM: This Agreement shall commence on the Licensee Rotation Start Date and shall continue unless terminated by either party with 90 (ninety) days written notice at any time. This Agreement is transferable and enforceable in the event Licensee is sold.

PERFORMANCE: Upon request, Licensee shall furnish to Licensor, on forms provided by licensor, monthly affidavits by Licensee setting forth proof of broadcasting for national commercials.

MARKET EXLUSIVE: During the term of this Agreement, Licensee shall have exclusive FCR broadcast rights in Licensee’s city of license.

DELIVERY: Licensee agrees not to hold Licensor responsible for any failure or delays in presenting the program, whether resulting from technical difficulties, force majeure, or any other cause.
